• 注册卢森堡公司需要您提供以下资料：

1) Original certified copy of the Bank references for all the concerned individuals and corporates (letter stating that they know the client and that they never had problems);

所有相关人员和公司的银行推荐信（推荐信应指明该银行熟知该客户，并从未与之产生任何问题），以英文为准，需由公证人认证

2) Identity Proofs: Certified true copies of the passport by a notary of the concerned individuals (indicating the full name and address and the person who certifies)

所有相关人员的身份证明文件：护照，需由公证人认证

3) Address Proofs: Utility bill, Bank statement, declaration by the city of residence, etc…, for proof of the address of the concerned individuals;

所有相关人员地址证明文件：公共事业账单，银行账单，居所证明申明等，英文为准，需由公证人认证

4) Police record (or equivalent) of the land of origin, and should be translated in English via Notary

公安局开具的无犯罪记录证明，并英文公证

5) Information about the concerned individuals = brief CV in English (beneficial owners and directors); 所有相关人员的英文简历 "

6)" Business plan in English of the Luxembourg Subsidiary, the below information should be mentioned: 设立卢森堡公司的英文商业计划书，需要阐述以下信息：

1. Detailed description of the activity planned with the company and the subsidiaries;; 公司与分支机构计划开展业务的详细说明
2. Name of suppliers and clients of the subsidiaries; 供应商的姓名以及分支机构客户的姓名
3. Source of assets (from financing the company to be created); 资本来源（如何资助即将成立的公司）
4. Geographic spread of business; 公司业务的地理分布状况
5. Estimated annual turnover; Estimated amount to be invested at the bank; 年收入预计;拟投入资金额
6. Estimated number of transactions per month; 公司业务的月交易量预计
7. Brochures, information leaflets and English introduction of the Parent company 投资母公司的宣传册，信息单页和介绍，概以英文为准

7) Original certified copy of business license of the parent company, in English

投资母公司的经营证书（营业执照），以英文为准，需要公证人公证

8) Original certified copy of M&A (inclusive of Register of Director and Member) of the parent company, in English

投资母公司的公司章程，包含董事股东名册，以英文为准，需要公证人公证

1) The client provide the company names and the business cope of the Luxembourg company (please finish CIL's questionare);       

客户告知其将要在卢森堡成立公司的名称及业务范围（填写CIL的调查问卷）

2) We will check the company names to confirm whether it can be used or not; 1 working day      

审核该名称是否可以被使用； 一个工作日

3) Customers prepare all the documents as required, inclusive of the thranslation, reference letter and notarization

请客户按照要求准备所有必须文件，包括翻译，推荐信和公证。

4) Collect all the requirments and send the soft copy to the bank legal department for the due diligence process

集齐所需文件后，我们会先将扫描件发至银行法务部分完成尽职调查流程。

5) Sign the Contract, complete the 80% advance payment.

签定合同，完成80%预付款。

6) We will send the original copies to Luxembourg by courier once the bank confirm that all doc are acceptable

一旦银行表示文件审查通过，我们将协助将所有文件原件快递至卢森堡。

7) We start to regist the company, at the same time open the bank account on behalf of the customer using the name that will be corporated. The bank account belong to the corporated company. All the bank forms will be sent to client for signing on and the original signature should be sent back.

开始注册公司；同时以即将成立的公司名义代表客户开立银行账户。银行开户表格需要客户亲自签署，并将签字原件返回。

8) The bank account number will be issued in 7-9 working days after the signature received, please arrange the register capital transfer to the new account for the capital verification

在银行收到开户申请表格签字原件后，账户将在7到9个工作日内出具。为完成验资程序，请客户尽快安排将公司初始资本存入账户。

9) Notary Office issue a division sample of Memorandum of association and articles of association

公证处出具一份公司章程样本

10) After the register capital insert into the bank account , we'll using the bank notice to request the notary office an appointmen to do the registration of the company, a registration interview will be arranged and the date should depend on the notary office.

注册资本注入后，我们会向公证处提交银行到款通知书，并申请预约公司注册。注册的时间由注册处而定。

11) Get an electronic extract of the Register of Commerce and finish the complete set of company documents. 10 working days 

从商业登记处获取电子存档，并完成整套公司文件；10个工作日

12) After the company have been already registered, we'll send all the documents to the client, the client can using the name of this company to operate business.                

将公司文件盒快递给客户。客户可以立即以公司的名义进行商务运作。

*多数成立卢森堡公司的客户是已经在海内外上市或中等规模以上企业，并以中国公司的全资子公司形式进行的，都对公司注册事宜在中国当地政府进行报备，以做到完全合规并方便外汇汇出申请，2011年6月1日中国方面出了新政策，加强了商业实质的审核，除了商务部，发改委也要审批，先到市里再到省里，必须证明在卢森堡当地有实际运营的项目。
